Dealer Terms & Conditions

Spire Outdoor Group, Ltd. (“Spire”) is the exclusive distributor of Highmark Airbags, KITebikes, and Mountain Lab products within North America, and the Canadian distributor of Mammut Avalanche Safety Gear within the powersports community.

The following Terms & Conditions must be agreed upon in order to become and remain an authorized dealer of any of these brands. These policies are designed to ensure the long-term profitability and success of our dealer network. Failure to comply may result in suspension or termination of dealership privileges.

SHIPPING

  • Dealers are responsible for all freight charges unless otherwise stated or negotiated.

  • Unless requested otherwise, all shipments leave Spire’s warehouse without insurance. Once an order leaves our facility, Spire is no longer responsible for the shipment. Dealers who wish to insure shipments must request this at the time of order.

  • Shipping Highmark or Mammut canisters requires dangerous goods certification and compliance with all regulations, including labeling and carrier notification. Contact us for instructions before shipping full canisters.

  • Shipping charges will be added to the invoice. Collect shipments are subject to applicable fees.

  • Dealers may request direct-to-customer shipping (“dropship”). A $4.99 dropship fee applies in addition to shipping costs (waived for dealers with bookings over $20,000*).

  • Flat-rate shipping does not apply to dropship orders.

  • Dropship orders are non-returnable except for defective product.

  • Please include “DROPSHIP” in your order notes to ensure timely processing.

  • Booking orders ship within two weeks of the requested date.

  • In-season orders typically ship within 48 hours.

  • Backorders ship automatically unless canceled in writing.

  • Priority handling fees apply for expedited processing.

  • Spire will always seek the most cost-effective carrier. Packing slips are included; invoices and tracking will be sent via email.

  • Any discrepancies must be reported within 7 days of delivery.

PAYMENT TERMS

  • Net-30 terms apply to all in-season orders for dealers with approved credit.

  • Dealers on pre-pay (credit card) terms must apply and be approved for credit to qualify for pre-season terms.

  • Dealers on pre-pay terms will be notified by email before booking orders ship.

  • Late invoices incur a 3% monthly late fee. Past-due accounts also forfeit discounts and free shipping.

  • Accounts in arrears may be placed back on pre-pay terms, and shipments may be withheld until balances are resolved.

  • Accepted payment methods: cheque, online banking (preferred), or credit card (Visa/Mastercard). Credit cards are not accepted for dealers on terms.

  • Prepayment is required until credit approval is granted.

  • To pay online, search for Spire Outdoor Group as a payee with your bank and use your customer number. Contact us if you need assistance.

PRE-SEASON TERMS

  • Discounts and terms are forfeited if revisions/cancellations exceed 10% of the order value.

  • Accounts must be current to qualify for booking offers or in-season discounts.

  • A valid Dealer Application and Credit Card Authorization must be on file for all pre-season bookings.

  • Pre-season orders ship within 2 weeks of the requested PO date.

POP (Point of Purchase)

  • Spire provides complimentary banners for brands you carry.

  • Quantities may be limited; additional banners or custom POP materials are available for purchase.

  • Custom banners (e.g. fence or building signage) can be arranged — shipping charges apply.

WARRANTY

  • Handled by Spire: Highmark, KITebikes Mountain Lab.
    → Please complete the Dealer Warranty Form on each respective website. A Return Authorization (RA) number will be issued to process your claim.

  • Handled by Manufacturer: Mammut.
    → Please contact the manufacturer directly. Contact details are available upon request.

MINIMUM ADVERTISED PRICE (MAP) POLICY

Spire Outdoor Group, Ltd. enforces a strict MAP Policy to protect our brands and dealer network.

  • All products must be advertised at MSRP unless otherwise specified by Spire.

  • MAP applies to all media: print, online, social, email, signage, etc.

  • Dealers must comply with Spire’s MAP policy and the policies of partner brands.

  • Spire may issue periodic MAP exceptions (e.g. SKU lists or MAP Holidays). Dealers will receive advance notice.

  • Non-current/discontinued items may be advertised below MAP but must be clearly labeled “non-current” or “discontinued.”

  • MAP applies only to advertised prices, not to final sale prices in-store or by phone.

  • Free shipping and other non-price incentives are allowed, provided they are not advertised as MSRP discounts.

  • Violations:

    1. First violation: Written warning with opportunity to correct.

    2. Second violation: Suspension of purchasing privileges for 60 days.

    3. Third violation: Indefinite suspension at Spire’s discretion.

By placing an order with Spire Outdoor Group, Ltd., you acknowledge and agree to abide by these Terms & Conditions.
